Well, I choosed the Delaware State to incorporate my Web oriented company. Why Delaware? There you can form your legal entity (Corp/LLC) by yourself.
If you choose a Corp, you can be both the CEO and the whole board of directors, and if you decide for a LLC, you'll be holding the President, Vice-President, Secretary and Treasurer offices.
I opted for LLC, beacuse the company itself pays not income tax to Delaware. Only the shareholders are taxed for the income, but as I live outside USA, I don't pay any income taxes!
You could also form a 'C'-corp and transform it into a 'S'-corp which has the same taxes benefits, but is a long process, and you'll be spending some imporatant $$ on legal advice.
