Question Is this link a fair trade?

I received a request for a link exchange.

I would like to know if this seems like a
reasonable exchange, and will it
help my page rank? I know almost nothing
about programming and I could use whatever
wisdom you can offer.

1. On my site, I place link exchanges (HTML Links)
one page removed from my index page.


2. The site that has linked to mine gave me the
following instructions to find my link on his site:

Step One: go to:
www.
URL.COM/other.asp?page=3&linkid=1&linkname=Business+&q=

FYI:
(this page has a category list of
21 categories, I clicked just one category named "business" (- my category - which has 324 links -15 pages of links the last having a URL page of /other.asp?page=15&linkid=1&linkname=Business+&q=)

Step two,
to find my link he suggest that I Type my URL into a Search Box. I do find My link, and it is returned
on a new page, all alone with a url of /other.asp

3. This site is a retail site, mine is a business service site, so I do understand that the link is probably not that helpful anyway. But, I would be interested in finding out what the value of having a link like this is.

they are using a strategy called go top link exchange. In my experience these don't do you any good. the links page is usually of little or no significane and is filled with links. With generally low to no page rank. The only respectable link trading company to use is linksmanager and even then it is touch and go. I was on this go top for a month and I got about 10 requests a day and only two I used the entire month. If they are not a good customer resource and you don't have cotrol over the link anchor text. Don't do it. Although I must clarify that it wont hurt your site if you do. but it is probobaly not a long term partnership and the links pages are not very condusive to good pr distribution and you are probobaly helping them more than they are helping you.
