5. Company A sells compnay B on.
6. Company B wants web rankings again.
Will a change of registrant, server, content and product descriptions be enough to bring company B's site back into non brand rankings ?
Or would you advise on a brand new domain name and start again?
No, wouldn't start again. Changing the registrar/server and content/titles etc should be enough to push it back.
Just remember the links may well have been taken by the other company. So they might not come back to where they were.
Also I would create a new WMT account, add sitemaps etc just to force google to know that the website has changed owners and get them to re-crawl the new content.

No. You'll need to optimize both on-page and off-page factors to get into those rankings. And yes Google's webmaster tools account will help you understand your website's stats in Google's data.
